These Terms and Conditions (“Terms”) govern the supply of goods and services by CardiƯ Health Care Limited (“the Company”, “we”, “us”, “our”) to customers (“you”, “the Customer”). By placing an order, entering into a contract, or using our services, you agree to these Terms.

These Terms apply to all goods and services supplied by the Company, regardless of the sales channel used.

These Terms apply alongside the Company’s Shipping, Delivery and Returns Policy, which forms an integral part of the contract.

In the event of conflict, these Terms shall prevail unless expressly stated otherwise in writing.

The Company primarily operates on a business-to-business (B2B) basis, supplying healthcare providers, care homes, nursing homes, and related organisations.

Where consumer transactions occur, statutory consumer rights under UK law remain unaffected.

All orders are subject to acceptance by the Company.

Quotations are valid for a limited period unless otherwise stated.

A binding contract is formed only when the Company confirms acceptance in writing or begins performance.

The Company reserves the right to refuse any order at its discretion.

Prices are exclusive of VAT unless stated otherwise.

Payment terms will be agreed at the time of order or set out in a written agreement.

Late payments may result in suspension of deliveries or services.

The Company reserves the right to charge interest on overdue amounts in accordance with applicable law.

Delivery, transfer of risk, inspection, returns, and remedies for faulty goods are governed by the Company’s Shipping, Delivery and Returns Policy, available on request or via official Company communications.

Where installation or on-site services are provided, the Customer must ensure:

• Safe and unrestricted access
  
• Suitable working conditions
  
• Compliance with health and safety regulations
  

Delays caused by inadequate site readiness may result in additional charges.

Repair and maintenance services are provided in accordance with agreed service terms.

Replacement parts may be new or refurbished unless otherwise agreed.

Service timelines are indicative and not guaranteed.

Product warranties are provided by manufacturers unless stated otherwise. Warranties do not cover:

• Misuse or neglect
• Unauthorised modifications
• Failure to follow instructions
• Normal wear and tear

Equipment supplied is intended to comply with applicable UK healthcare and medical device regulations.

The Customer remains responsible for:

• Correct installation and use
• Routine inspection and testing
• Ongoing regulatory compliance

Title to goods remains with the Company until full payment has been received in cleared funds, even if the goods have been delivered.

To the fullest extent permitted by law, the Company shall not be liable for indirect or consequential losses, including loss of profit or business interruption.

Nothing in these Terms limits liability for:

• Death or personal injury caused by negligence
  
• Fraud or fraudulent misrepresentation

The Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including supply-chain disruption, regulatory action, or natural events.

The Company reserves the right to amend these Terms at any time. Continued use of the Company’s services constitutes acceptance of the updated Terms.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
